Terms of Use

1. Parties

1.1. This agreement is concluded between you and Simpledo Financial Technologies Inc. These Terms of Use and any terms incorporated herein (hereinafter, the “Terms�?) apply to your (“user�?, “you “, your�?) use of the services (hereinafter, the “Services�?) provided by Simpledo Financial Technologies Inc. (hereinafter, the “Simpledo�?), including Simpledo operated websites (hereinafter, the “Website“ ) and mobile applications (hereinafter, the “Mobile App“ ), the technology and the platform integrated therein and any related applications associated therewith, which are operated and maintained by Simpledo and its affiliates (“Simpledo�?, “we�?, “our�?, or “us�?).

1.2. By visiting our website, accessing, using, or attempting to access or use the Services, you acknowledge and agree that you have read, understood, and accepted all of the terms and conditions contained in this Agreement as well as our Privacy Policy, Protection of Personal Data Policy, Cookie Policy, andExplicit Consent Statement. If you do not agree, you may not access or use the Services and must immediately cease any use of the Services.

1.3. We may amend this Agreement from time to time by posting a revised version of this Agreement to the Site and sending a notice to the email associated with your Account (if applicable), and may do so without advance notice to you. Accordingly, please review the Agreement posted at this location periodically. Each time you use the Services, you agree to be bound by the terms of the Agreement in effect at the time of your use thereof. If you do not agree to the revised terms, you are not permitted to use the Services.

AS WITH ANY ASSET, THE VALUE OF DIGITAL CURRENCIES CAN GO UP OR DOWN AND THERE CAN BE A SUBSTANTIAL RISK THAT YOU LOSE MONEY BUYING, SELLING, HOLDING, OR INVESTING IN DIGITAL CURRENCIES. YOU SHOULD CAREFULLY CONSIDER WHETHER TRADING OR HOLDING DIGITAL CURRENCIES IS SUITABLE FOR YOU IN LIGHT OF YOUR FINANCIAL CONDITION. SIMPLEDO IS NOT A SECURITIES BROKER AND DOES NOT OFFER BROKERAGE SERVICES.

THE RISK OF LOSS IN THE EXCHANGE OF CRYPTO ASSETS CAN BE SUBSTANTIAL, AND THEREFORE, YOU SHOULD UNDERSTAND THE POSSIBILITY OF LOSSES ASSOCIATED WITH THE EXCHANGE OF CRYPTO ASSETS AND MUST ASSUME RESPONSIBILITY FOR ALL THE RISKS ASSOCIATED WITH SUCH EXCHANGES AND FOR THEIR RESULTS.

TECHNICAL FAILURES THAT MAY OCCUR ON THE SERVICES WE OFFER. SIMPLEDO DOES NOT GUARANTEE THAT SERVICES WE OFFER WILL WORK ORWORKWITHOUT ANY FAILURE

SIMPLEDO IS NOT A SECURITIES BROKER AND DOES NOT OFFER BROKERAGE SERVICES.

NO SERVICES UNDER THIS AGREEMENT HAVE THE NATURE OF INVESTMENT ADVISORY.SIMPLEDO NEITHER COMMITS TO PROVIDE CONSULTANCY TO THEUSER NORENGAGE IN ANY ACTIVITY THAT MAY BE INTERPRETED AS CONSULTING.

2. Enforcement

2.1. These Terms of Use constitute a binding agreement between Simpledo and the user as soon as the user visits the Website and uses Services. By doing so, the user confirms that user has read and accepted these Terms of Use in their entirety before finishing the registration procedure.

3. Definitions

3.1. "Crypto Assets", "Crypto Coins" herein shall be deemed as a type of assets which can only and exclusively be transmitted through block-chain technology, including but not limited to digital coins and digital tokens and any other type of digital mediums of exchange, such as Bitcoin, Ethereum, etc, to the full and absolute exempt of the securities of any kind.

3.2. “Fiat Currency�? herein shall mean a government-issued currency.

3.3. "Exchange", "Swap" shall mean an exchange of the crypto asset of one type to the crypto asset of another type at the terms and conditions set forth, which is executed via the Third-party service in the respective block-chain network. When you exchange crypto assets, you acknowledge and agree that the Exchange will be processed through the third-party exchange service with additional fees applicable to such Exchange.

3.4. "Fixed exchange rate"; shall mean that your exchange rate gets "locked" for fifteen or twenty minutes, meaning it remains the same regardless of the changes on the market.

Simpledo cannot guarantee the execution of a Fixed exchange rate transaction in some cases, including, but not limited to the following;

3.4.1. User sent crypto assets more than 15 minutes after the receiving wallet address provided by Simpledo,

3.4.2. User sent an amount of crypto assets different from the amount to be sent that was displayed on the Website or App,

3.4.3. User sent crypto assets to a previously used one-time address that had been generated for a Fixed exchange rate transaction,

3.4.4. Due to technical issues or market situation, if the transaction cannot be executed anymore, the crypto assets that the user wants to exchange will be refunded, less all applicable fees. A refund in such a case usually takes up to 20 business days.

3.5."Floating exchange rate"; shall mean an exchange rate mode in which we do not guarantee the rate, it fluctuates in accordance with the market.

Simpledo cannot guarantee the execution of a Floating exchange rate transaction in some cases, including, but not limited to the following;

3.5.1. User sent crypto assets more than 3 hours after the receiving wallet address provided by Simpledo,

3.5.2. User sent an amount of crypto assets different from the amount to be sent that was displayed on the Website or App,

3.5.3. User sent crypto assets to a previously used one-time address that had been generated for a Floating exchange rate transaction,

3.5.4. Due to technical issues or market situation, if the transaction cannot be executed anymore, the crypto assets that the user wants to exchange will be refunded, less all applicable fees. A refund in such a case usually takes up to 20 business days.

3.6. "Simpledo account", "account"; shall mean user account which completed registration process including KYC/AML verification.

4. Services

4.1. Our Services provide you with the possibility to Buy/Sell crypto assets with Credit Card, Bank Wire or Exchange (Swap) one type of crypto asset to another.

4.1.1. For the purposes hereof "Buy/Sell crypto assets with Credit Card or Bank Wire" shall mean a buying or selling of the crypto asset of one type to the fiat currency at the terms and conditions set forth, which is executed via the Third-party service.

4.1.2. For the purposes hereof " Exchange (Swap)" shall mean exchanging of the crypto asset of one type to the crypto asset of another type at the terms and conditions set forth, which is executed via the Third-party service.

4.2. When you buy/sell crypto assets you acknowledge and agree that the transaction will be processed through the third-party service with additional fees applicable to such transaction. You acknowledge and agree that the transaction rates information made available via the Services are an estimation only and your final exchange rate can significantly different than estimation.

4.3. When you exchange crypto assets, you acknowledge and agree that the transaction will be processed through the third-party service with additional fees applicable to such transaction. You acknowledge and agree that the transaction rates information made available via the Services are an estimation only and your final exchange rate can significantly different than estimation.

4.4. To be able to use our Services you shall go through the registration process and create a Simpledo Account. User should manage and maintain only one account. Users are prohibited from creating multiple accounts.

4.5. When you create an Account, you oblige to;

4.5.2. Agree to pass through KYC/AML procedure, verify email and mobile phone number. Simpledo reserves the right to request additional information and documents, which are aimed without limitation to identify our user and to prove the source of the funds,

4.5.3. Maintain the security of your Account and promptly notify us if you discover any suspicious activity related to your account,

4.5.4. Agree to receive emails, phone messages containing information about credentials, passwords, transactions, and marketing promotions,

4.6. Prior to your use of the services and on an ongoing basis you represent, warrant, covenant and agree that;

4.6.1. You use our Services at your sole option, discretion, and risk,

4.6.2. You are solely responsible for any applicable taxes which may be payable while using our Services,

4.6.3. You are NOT in, under the control of, or a national or resident of any country where crypto assets transactions are explicitly prohibited,

4.6.4. You agree to pay the fees for Services as defined by Simpledo, which we may change from time to time,

4.6.5. There are risks, associated with Internet-based systems, such as the failure of hardware, software, and Internet connections and with the Blockchain Protocol, such as any malfunction, unintended function, unexpected functioning of or attack on the Blockchain protocol,

4.6.6. You guarantee that your crypto assets belong to you and they are not sold, encumbered, not in contention, or under seizure, and that neither exists any rights of third parties to your crypto assets,

4.6.7. You guarantee that the wallet addresses you use are not be associated with terrorism, fraudulent scams, or any type of illegal activity,

4.6.8. You further represent, agree and warrant, that you will not violate any law, contract, third-party right or commit a tort by accessing or using the Services, and that you are solely responsible for your actions and/or inactions while using our Services.

4.6.9. Use our Services or will immediately cease using those if any applicable law in your country prohibits or will prohibit you at any time from doing so,

4.6.10. Use our Services to participate in fraudulent, scam or any type of illegal activity;

4.6.11. Exchange via our Services or attempt to pay-in crypto assets, which are obtained from illegal gambling activities; fraud; money-laundering; or terrorist activities; or any other illegal activities. With our Services, the user can only use crypto assets, which are obtained from legal sources,

4.6.12. Provide false, inaccurate, or misleading information,

4.6.13. Attempt to modify, decompile, reverse-engineer, or disassemble our software in any way,

4.6.14. Use any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access the Services or to extract data,

4.6.15. Attempt to circumvent any content-filtering techniques we employ or attempt to access any service or area of our Services that you are not authorized to access,

4.6.16. Develop any third-party applications that interact with our Services,

4.6.17. Encourage or induce any third party to engage in any of the activities prohibited under this Section,

4.6.18. The technical issues arising from your misuse of our services, such as creating incorrect transactions (entering a wrong address both when indicating the recipient address and when sending your crypto assets to us), and other types of user mistakes, if it is possible, may be resolved by our technical department with limitations. Upon successful resolution of a technical issue, the crypto assets sent incorrectly will be refunded to the user, less all applicable fees.

4.6.19. You acknowledge and agree that no crypto assets sent to us via an unsupported and/or not recommended network can be refunded.

4.6.20. You acknowledge and agree that any refund may cause operating costs for the allocated resources required for resolving user issues arising from misuse of our services. Simpledo shall be entitled to recover its operating costs for the services while executing any refund. In this case, crypto assets will be refunded to the user, subtracting operating costs and network fees, only with a prior user’s consent.

4.6.21. YOU INDEMNIFY AND HOLD SIMPLEDO HARMLESS AGAINST ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO INCORRECT USE OF REUSABLE ADDRESS, INCORRECTLY CONSTRUCTED TRANSACTIONS ETC.

4.6.22. SIMPLEDO DOES NOT PROVIDE CUSTODIAL SERVICES, WHICH MEANS, WE DO NOT STORE YOUR CRYPTO ASSETS ON DEPOSITS AND BALANCES. YOU HEREBY UNDERSTAND AND ACKNOWLEDGE, THAT ANY DELAYS REGARDING YOUR EXCHANGE TRANSACTIONS ARE POSSIBLE; YOU INDEMNIFY AND HOLD US HARMLESS AGAINST ANY CLAIMS, DEMANDS, AND DAMAGES, WHETHER DIRECT, INDIRECT, CONSEQUENTIAL OR SPECIAL, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE EXCHANGE DELAY, WHETHER ORIGINATED FROM OUR FAULT OR NOT.

4.7. ILLEGAL ACTIVITIES. You are responsible for complying with applicable law, including state and federal laws and regulations regarding money laundering, terrorist financing, and money transfer and remittance. You are responsible for understanding and abiding by the laws and regulations of each jurisdiction in which you use the Services.

4.8. SERVICE LIMITATIONS. Except as required by law, we may, without notice and without liability to you, suspend or terminate access to, or refuse to provide, any Services at any time in our sole discretion, including with limitation;

4.8.1. If we believe, in our sole discretion, you directly or indirectly use, or attempt to use, the Services for any unlawful or improper purpose,

4.8.2. If we believe you have engaged in any activity that is prohibited on the Site,

4.8.3. If you provide any incomplete, incorrect, or false information to us,

4.8.4. If you attempt to tamper, hack, modify, or otherwise corrupt the security or functionality of the Site or the Services,

4.8.5. If we believe that your use of any method of payment is unauthorized, or if your method of payment does not have sufficient available funds (or credit, as applicable), or that has expired, or if your method of payment is declined or your payment is blocked or reversed for any reason,

4.8.6. If you have breached any portion of this Agreement,

4.8.7. If we determine such action is necessary to comply with this Agreement, any of our policies, procedures or practices, or any law, rule, or regulation,

4.8.8. YOU AGREE THAT YOU INDEMNIFY AND HOLD US HARMLESS AGAINST ANY CLAIMS, DEMANDS, AND DAMAGES, WHETHER DIRECT, INDIRECT, CONSEQUENTIAL OR SPECIAL, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA OR LOSS OF ASSETS, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ORIGINATED FROM OR IN ANY WAY CONNECTED WITH INVALIDITY OR BREACH OF ANY OF THE PROVISIONS OF THIS SECTION AND THE ENTIRE TERMS.

5. KYC/AML

5.1. Simpledo or its third-party service providers reserves the right to apply the AML/KYC procedure directly or through a third party to all users or particular users, wallet addresses, and particular transactions of crypto assets.

5.2. Regarding KYC/AML, we or our third-party service providers may require all or some of the following; Government issue ID (passport, etc.), Selfie, Proof of Residency, PEP database check, Proof of Funds, Video Identification, Live Chat, or any other means we find necessary to identify you and source of the funds.

5.3. Simpledo or its third-party service providers reserves the right to monitor transactions, including but not limited to wallet address, etc.

5.4. Simpledo or its third-party service providers can hold any transaction, crypto assets, and funds for further risk assessment.

6. Eligibility

6.1. In order to use the Services, you must be a resident of a jurisdiction we serve and be at least eighteen (18) years of age (or the applicable age of majority and contractual capacity in the jurisdiction in which you reside).

6.2. You hereby declare and undertake that you are over the age of 18 and has a capacity for independent act and responsibility.

6.3. You hereby declare and undertake that you are not citizen or reside in the country which crypto assets are illegal or crypto assets transactions are explicitly prohibited.

6.4. You hereby declare and undertake that you are not citizen or reside in Simpledo restricted countries, jurisdictions.

6.5. You guarantee that your crypto assets belong to you and they are not sold, encumbered, not in contention, or under seizure, and that neither exist any rights of third parties to your crypto assets;

6.6. Simpledo will take necessary and appropriate measures such as not proceeding for any transactions, freezing or blocking, suspending your account unilaterally, if we, for any reason and in any way, detects or has reasonable doubt that; you are not 18 years of age, you are citizen or resident of a country where crypto is illegal, you are citizen or resident of a country where crypto assets transactions are explicitly prohibited,you are citizen or reside in Simpledo restricted jurisdictions or your account being used by someone else.

6.7. You agree to pay the fees, andyou are solely responsible for any applicable taxes which may be payable while using our Service.

6.8. Simpledo maintains the right to select the markets and jurisdictions to operate in and may restrict or deny its services to certain countries at any time.

7. Fees

7.1. The transaction fee is the total sum of the Simpledo service fee and the third-party fees.

7.2. The Simpledo service fee is 0.50% (half percent) to 3% (three percent) of the total transaction amount. Fees may vary based on the transaction type, coin type, the user`s residency location, market volatility, etc.

7.3. Simpledo or third-party service providers can set minimum transaction fee.

7.4. Simpledo may change this Simpledo fee and minimum transaction fee from time to time without any further notice.

7.5. The third-party service processing fee is the amount charged by the third-party service provider for the transactions initiated by the users, and it is addition to Simpledo fees. These fees may vary based on the transaction type, coin type, the user`s residency location, market volatility, etc. The third-party service providers may change this fee from time to time without any further notice.

7.6. The network fee is paid to cryptocurrency miners for processing transactions in the network, and it serves to ensure withdrawals of the funds from exchanges. The third-party service provider collects and transfers these payments to respective exchanges, which themselves set the amount of the fee at any particular time. The moment a transaction is created, this fee may be displayed to the user, with the amount being based on our estimates. With that, you acknowledge and agree that the final amount of the network fee charged can sometimes differ from our estimate. This occurs entirely due to the volatile nature of network fees prevalent on exchanges and does not depend on our platform in any respect.

7.7. At our sole discretion, we may show you these fees separately or include these fees in the exchange rate given to you as an all-included exchange rate.

7.8. By initiating the transaction, you agree to pay the fees and applicable taxes.

8. Information Privacy

8.1. Never share the details of your transaction, including, but not limited to, your account information, the transaction hash, recipient address and/or e-mail related to transaction or your account, with anyone.

8.2. You should ascertain that your transactions and/or account details are not disclosed by ensuring that you do not knowingly or accidentally share, provide or facilitate unauthorized use of it.

8.3. WITHOUT LIMITING THE FOREGOING, SIMPLEDO SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES INCURRED AS A RESULT OF ANY INFORMATION SUBMITTED TO IT THROUGH THIS WEBSITE OR ANY CONTACT E-MAIL THEREOF OR FOR ITS TRANSMISSION OF INFORMATION TO ANY PERSON(S) OR ENTITY(IES) AS A RESULT OF A REQUEST FOR SUCH TRANSMISSION REASONABLY BELIEVED BY SIMPLEDO TO HAVE BEEN MADE BY SUCH PERSON OR ENTITY.

9. Risk Disclosure

9.1. Simpledo does not and will not provide any investment advice or legal advice regarding your exchange or investment. You acknowledge that only you are responsible for your decisions and actions performed on our platform and we will not make any personal recommendations for or advise you on the exchange of particular crypto assets. Before performing any exchange of crypto assets, you should carefully consider whether such an exchange is suitable for you with your current circumstances and financial resources.

9.2. Be aware that crypto assets are generally assumed to be subject to high volatility due to them still being in the early stages of developing, technologically and financially. Crypto assets do not necessarily have a specific form of protection or regulation by any governmental body, which means that by exchanging crypto assets, you will not be able to enforce any guarantees or safeguards expected with regulated financial services.

9.3. THE RISK OF LOSS IN THE EXCHANGE OF CRYPTO ASSETS CAN BE SUBSTANTIAL, AND THEREFORE YOU SHOULD UNDERSTAND THE POSSIBILITY OF LOSSES ASSOCIATED WITH THE EXCHANGE OF CRYPTO ASSETS AND MUST ASSUME RESPONSIBILITY FOR ALL THE RISKS ASSOCIATED WITH SUCH EXCHANGES AND FOR THEIR RESULTS.

9.4. You hereby declare and undertake that you acknowledge the risks of investing, trading in Crypto Assets and will assume by yourself, and will not hold Simpledo responsible for the losses and damages which has incurred or may be incurred due to the investment. For more information about the risks in using Simpledo, please refer to the Risk Disclosure Form.

10. Third-Party Services and Content

10.1. Simpledo use third-party service providers to ablet to offer its services. We don’t have any control over third-party services. If you encounter any problems with any Third-Party Services available via Simpledo, you acknowledge that you should resolve that issue with the relevant third-party service provider and that your sole remedy in such circumstances lies within the relevant third-party and not within Simpledo.

10.2. You may be charged fees by the third-party service provider. Simpledo is not responsible for any third-party services' fees. You are solely responsible for your use of the third-party service, and you agree to comply with all terms and conditions applicable to any third-party service.

10.3. For on/off ramp services (buy/sell crypto with credit card, bank card) we use Mercuryo and its relevant business partners as third-party service provider. WHEN YOU REGISTER WITH SIMPLEDO, WE ALSO WILL REGISTRY YOU WITH MERCURYO AUTOMATICALLY, AND SHARE YOUR KYC/AML INFORMATION WITH MERCURYO. YOU CAN REACH MERCURYO TERMS OF SERVICE AND PRIVACY POLICY IN RELEVANT LINKS. FURTHERMORE, YOU ACKNOWLEDGE AND AGREE TO SUMSUB TERMS OF SERVICE AND PRIVACY POLICY.

10.4. For KYC/AML process we use SumSubas third-party service provider. TO ABLE TO PROCESS KYC/AML, WE SHARE YOUR INFORMATION WITH SUMSUB.YOU CAN REACH SUMSUB TERMS OF SERVICE AND PRIVACY POLICY IN RELEVANT LINKS. FURTHERMORE, YOU ACKNOWLEDGE AND AGREE TO SUMSUB TERMS OF SERVICE AND PRIVACY POLICY.

10.5. For Exchange (Swap) Services we use multiple liquidity providers.

10.6. The exchange rates discrepancy is at any time possible due to the Third-Party algorithms. You indemnify and hold Simpledo harmless against any direct, indirect, consequential or special damages, or any other damages of any kind, including, but not limited to, loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the aforesaid exchange rates discrepancy.

10.7. While using our Services, you may view Third-Party Content. We do not control, endorse or approve any Third-Party Content and shall have no responsibility for Third-Party Content, including without limitation material that may be misleading, incomplete, erroneous, offensive, indecent or otherwise objectionable. In addition, your business dealings or correspondence with such third parties are solely between you and the third parties. We are not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings, and you understand that your use of Third-Party Content, and your interactions with third parties, is at your own risk.

11. Intellectual Property

11.1. All our intellectual property assets ("IP") including but not limited to all copyrights, trademarks, patents, service marks, trade names, software code, icons, logos, characters, layouts, trade secrets, buttons, color scheme and graphics are protected by local and international intellectual property laws and treaties.

11.2. We hereby grant you a limited, nonexclusive and non-sublicensable license to access and use our IP for your personal use only.

11.3. In any case you may not alter, modify, reproduce, distribute or commercially exploit any materials, including text, graphics, video, audio, software code, user interface design or logos.

11.4. The license granted under this Section will automatically terminate if we suspend or terminate your access to the Services.

11.5. In case you upload or share any feedback, suggestion, idea or other information or material ("Content") with us you automatically grant us a worldwide license to use your content. It becomes part of the public domain as long as it remains on our Website and Services. It can be used for marketing or any other purposes at our sole discretion.

12. Limitation of Liabilities

12.1. Except as expressly provided to the contrary in a writing by us, OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. We expressly disclaim, and you waive, all warranties of any kind, whether express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement as to our services, including the information, content and materials contained therein.

Except as otherwise required by law, IN NO EVENT SHALL SIMPLEDO, OUR DIRECTORS, OFFICERS, MEMBERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR SPECIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OR INABILITY TO USE OUR SERVICES, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE BY ANY USER ON ANY INFORMATION OBTAINED FROM SIMPLEDO, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM A FORCE MAJEURE EVENT, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO SIMPLEDO’S RECORDS, PROGRAMS OR SERVICES.

12.3. Exchanges via our Services cannot be canceled by Simpledo. Therefore, check the details of your exchange details before making such exchange. Simpledo is not responsible for your crypto assets once they have been sent outside of the Services. Simpledo doesn’t guarantee the uptime of the exchange.

12.4. Simpledo cooperates with law enforcements agencies and other competent authorities in order to obey laws and regulations without any prior notice to you and without publication of the reason for such decision. YOU INDEMNIFY AND HOLD SIMPLEDO HARMLESS AGAINST ANY CLAIMS, DEMANDS AND DAMAGES, WHETHER DIRECT, INDIRECT, CONSEQUENTIAL OR SPECIAL, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ORIGINATED FROM OR IN ANY WAY CONNECTED WITH COOPERATION OF COMPETENT AUTHORITIES.

12.5. To the maximum extent permitted by applicable law, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SIMPLEDO (INCLUDING OUR DIRECTORS, OFFICERS, MEMBERS, EMPLOYEES AND AGENTS), WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, SIMPLEDO OR TO THESE TERMS EXCEED THE FEES PAID BY YOU TO SIMPLEDO WITHIN 1 MONTH IMMEDIATELY PRECEDING THE DATE OF ANY CLAIM GIVING RISE TO SUCH LIABILITY.

13. Communications

13.1. You agree and consent to receive electronically all Communications, that Simpledo may be willing to communicate to you in connection with your Simpledo Account and/or use of our Services. For the purposes hereof “Communications�? shall mean all and any communication, agreement, document, receipt, notice and disclosure, which may be from time to time addressed to user by Simpledo.

13.2. You may withdraw your consent to receive electronic Communications by sending a withdrawal notice to support. If this is a case you waive your right to plead ignorance.

13.3. If you decline or withdraw consent to receive electronic Communications, Simpledo may suspend or terminate your use of the Services.

14. No Offer of Securities

14.1. Simpledo takes all possible measures to integrate and exchange those digital coins and digital tokens and other types of digital mediums of exchange only that cannot be classified as “security“by competent national authorities.

15. Termination and Force Majeure

15.1. Each party may terminate this Agreement at any time with a one-day prior notice delivered to the other party.

15.2. If we believe that you have breached any of the terms of these Terms, immediately without notice.

15.3. Under this Agreement, force majeure shall be interpreted as events that occur beyond the reasonable control of the related party including but not limited to natural disasters, riots, epidemics, war, strike, lockout, failures arising from telecommunications infrastructure, power outages and bad weather conditions.

15.5. Neither party shall be liable for any losses or damages incurred by the other party arising from or related to failure or delay of either party’s performance of this Agreement due to “force majeure�?.

16. Applicable Law; Arbitration

16.1. You and Simpledo agree to arbitrate any dispute arising from these Terms or your use of the Services, except for disputes in which either party seeks equitable and other relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets or patents.

16.2. You and Simpledo agree to notify each other in writing of any dispute within thirty (30) days of when it arises. Notice to Simpledo shall be sent to legal@simpledo.io. Any dispute, controversy, difference or claim arising out of or relating to the Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.

16.3. Other than class procedures and remedies discussed below, the arbitrator has the authority to grant any remedy that would otherwise be available in court. Any dispute between the parties will be governed by these Terms, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction.

16.4. Whether the dispute is heard in arbitration or in court, you will not commence against Simpledo a class action, class arbitration or representative action or proceeding.

17. Miscellaneous

17.1. These Terms contain the entire agreement, and supersede all prior and contemporaneous understandings between the parties regarding the Services. Our failure or delay in exercising any right, power or privilege under these Terms shall not operate as a waiver thereof.

17.2. The invalidity or unenforceability of any of these Terms shall not affect the validity or enforceability of any other of these Terms, all of which shall remain in full force and effect.

17.3. You may not assign or transfer any of your rights or obligations under these Terms without prior written consent from Simpledo, including by operation of law or in connection with any change of control. Simpledo may assign or transfer any or all of its rights under these Terms, in whole or in part, without obtaining your consent or approval.
